FUNDS LAWYER – 4-6 years PQE – LONDON
Brief
We are seeking to recruit a talented, commercial private investment funds lawyer. The candidate will be based in our London office, but we work on a cross-office basis so the candidate will have opportunities to work with colleagues in Scotland and our international offices including funds teams in Luxembourg and Dublin.
The ideal candidate would be a lawyer with 4 to 6 years’ experience of funds transactions and related work.
Our Investment Funds Team
Our Funds team acts for fund participants on the full range of investment funds work, including fund structuring, formation and LP side work. We act across all sectors, but have a focus on infrastructure, impact and sustainability. We advise large asset owners on their investment into fund structures and on secondary transactions. We also have a strong African fund formation and fund investing practice and have a growing middle east practice.
In recent years, we have developed an excellent set of credentials and a reputation for our work on impact investments and sustainable finance. Whilst we are well established in this area it continues to be a growing area and the team has an excellent track record. A role at PM will give the candidate the opportunity to work on transactions that are technical and high-pressured, but with the ability to make a difference. Our work in this area has been shortlisted for The Lawyer Funds Team of the Year three times and the Financial Times Innovative Lawyers award. The team is ranked in Band 3 in Legal 500 for fund formation work and Band 2 on our investor practice. The Partners and a senior associate are individually ranked across Legal 500 and Chambers.
Our Funds team has seen significant investment in the last several years and we have gone from strength to strength. We continue to target significant growth and are committed to invest further in the team.
We work closely with members of our tax team to provide the full service of legal advice for the structuring and establishment of funds. The Funds team is a part of the financial services group and therefore has the full support of a team of regulatory lawyers to provide advice on the related financial regulation aspects of fund raising – e.g. financial promotion and AIFMD.
Our current team includes experienced partners with in-depth experience of all aspects of fund raising, including funds established in the Channel Islands, Luxembourg, Mauritius and the Cayman Islands. We also have a strong investment funds presence in our Dublin and Luxembourg offices which, together with our existing UK team, gives rise to exciting and varied opportunities.
Our Funds team provides exciting opportunities to grow and develop. In recognition of our recent growth and having acted on complex, cross-border mandates our Funds team was nominated for Funds team of the year at The Lawyer awards as mentioned above. We have fantastic opportunities for new joiners to help further exploit established relationships within the firm and to explore new relationships from existing good connections. We are at the forefront of legal technology, having developed platforms for LP side work and more recently, upgrading those systems to take advantage of recent AI developments.

- Advising Clean Growth Investment Management on a £100m fund investing in technologies to help alleviate the dangers of climate change
- Advising Sango Capital on four African focused fund of fund structures and an innovative strategic equity vehicle
- Advising a number of the leading development finance institutions on their developing markets private market investment transactions
- Advised on a new homelessness social investment property fund to help meet increasing demand to house rough sleepers in London. The “Everyone In” fund was launched by Resonance, a leading social impact investment company, with an initial investment of £12.5 million and has a target fund size of £15 million.
- Advised on what is believed to be the world’s first gender-lens investment property fund, to support women experiencing, or at risk of homelessness. The £100mn Women in Safe Homes fund has been created as a solution to the lack of affordable, safe and secure homes for women who are experiencing homelessness, have been involved with the criminal justice system, are survivors of domestic abuse or have other complex needs.
- Advising large financial institutions on their private markets fund raising and investing work.
- Advising Asian Development Bank with KPMG on a project to establish a $3bn fund to transition certain countries away from coal fired power stations.
- Advising a leading infrastructure manager on several fund structures to co-invest in UK and European infrastructure projects.
The Candidate Required
The ideal candidate will be able to support our team and will have experience of advising on various matters relating to the establishment of, and investing in, private investment funds. It will also be essential that the candidate enjoys business development to help us achieve our ambitions for growth. Relevant experience will include:
- drafting constitutional documentation of funds including limited partnership agreements, shareholder agreements and unit trust deeds;
- drafting and negotiating ancillary documentation such as management agreements and administration agreements;
- advising on carried interest arrangements;
- reviewing marketing material;
- high level advice on UK financial regulation as it relates to investment funds (specifically a familiarity with AIFMD and the UK’s financial promotion regime);
- negotiating fund documentation with investors and dealing with side letter requests;
- drafting LLP agreements in relation to setting up new managers;
- dealing with offshore law firms and administrators;
- reviewing fund documentation for institutional investors and preparing user friendly reports;
- negotiating with fund counsel when acting for investors (either as cornerstone investor or as a minority investor); and
- discussing new funds with both start-up and experienced managers.
Additional attributes
As well as having the experience mentioned above, the candidate should be:
- strong academically with a strong work ethic;
- happy to work on creating marketing material, know-how and being involved in business development;
- prepared to work on a small number of mandates that don’t fit a traditional private funds role – this will include joint venture agreements and occasionally advice on M&A transactions in the funds space although that type of work is always done with the close support of our corporate team;
- a team player who can work with different teams and lawyers across the firm;
- willing to promote and drive innovative service delivery for our clients as part of the Funds team; and
keen to work in a growing international firm that is making headlines.
